Referral Agent Terms and Conditions

These Terms apply to everyone who joins the Duit Ready Referral Agent Programme. Please read them carefully. By applying to join and completing onboarding, you agree to these Terms.
1. About these Terms
These Terms are an agreement between Duit Ready Sdn Bhd (Registration No. 202601033421 (1695516-W)) ("Duit Ready", "we", "us") and you, the individual accepted into the Referral Agent Programme ("you", "Agent").
These Terms, the Commission Schedule given to you at onboarding and our Privacy and PDPA Notice form the whole agreement between us about the Programme.
2. Definitions
- "Approved Loan" means a loan that a Lending Partner approves and disburses to a Referred Customer, from an application submitted through Duit Ready with your Referral Code.
- "Commission" means the amount payable to you for an Approved Loan under the Commission Schedule.
- "Commission Schedule" means the document we give you at onboarding that sets out Commission rates and payout timing, as updated from time to time.
- "Lending Partner" means a licensed lender or financial partner that works with Duit Ready.
- "Referral Code" means the unique code or link we give you to identify your referrals.
- "Referred Customer" means an individual or business that applies through Duit Ready using your Referral Code.
3. Who can join
To join and remain an Agent, you must:
- be an individual aged 18 or above holding a valid MyKad;
- have a bank account in Malaysia in your own name;
- not be an undischarged bankrupt;
- not be employed by a Lending Partner, unless we agree in writing;
- not be prevented by your employer or any other agreement from taking part.
We may accept or decline any application at our discretion. Organisations should apply as a Channel Partner instead.
4. Our relationship
- You are an independent referrer. You are not an employee, partner, agent with authority, or representative of Duit Ready or of any Lending Partner.
- You cannot approve loans, make offers, sign documents or make promises on behalf of Duit Ready or any Lending Partner.
- Your appointment is non-exclusive. You may do other work, provided it does not conflict with these Terms.
- You pay your own costs of taking part. We do not reimburse expenses unless we agree in writing.
5. Your Referral Code
- Your Referral Code is personal to you and cannot be sold, transferred or shared with other agents.
- A referral counts only if the Referred Customer enters your Referral Code, or uses your referral link, when they apply.
- If a customer uses more than one code, the first valid code used on that application applies.
- If the customer already applied through Duit Ready in the [90] days before using your code, the referral does not count.
- Our records decide which referrals and Approved Loans are credited to you, except in the case of an obvious error.
6. What you may do
- Share your Referral Code or link with people who have agreed to hear about Duit Ready.
- Use the marketing materials we provide or approve in writing.
- Direct people to apply on the Duit Ready website or official WhatsApp channel.
7. Code of conduct: what you must never do
- Promise or suggest that a loan will be approved, or quote rates, amounts or approval times as guaranteed.
- Charge, collect or accept any money, fee, deposit or gift from a Referred Customer.
- Ask for banking passwords, PINs, TAC codes or access to anyone's online banking.
- Fill in or submit an application on someone else's behalf, or submit false information or documents.
- Refer anyone without their agreement, or send spam or unsolicited bulk messages.
- Describe yourself as an employee of Duit Ready or a Lending Partner, or as a lender.
- Create your own advertisements, websites, social media pages or paid search ads using the Duit Ready name or logo without our written approval.
- Break any law, including the Moneylenders Act 1951 and its regulations, the Consumer Protection Act 1999, the Personal Data Protection Act 2010 and anti-money laundering laws.
Breaking any of these rules allows us to suspend or end your participation immediately and withhold unpaid Commission linked to the breach.
8. Commission
- You earn Commission only on Approved Loans, at the rates in the Commission Schedule.
- Commission is paid by Duit Ready, not by the Referred Customer.
- Commission is paid [monthly] by bank transfer, [within X days after Duit Ready receives its fee from the Lending Partner].
- No Commission is payable if a loan is not approved, is cancelled, or is found to involve fraud or false information.
- If a Lending Partner reverses or claws back our fee for an Approved Loan, we may deduct the related Commission from future payments.
- We may hold Commission while we investigate a complaint or suspected breach.
- We may change the Commission Schedule by giving you at least [14] days' notice. Changes do not affect Commission already earned.
- If you believe a Commission payment is wrong, tell us within 30 days of the payment date.
9. Tax
You are responsible for declaring and paying tax on your Commission. We may deduct or withhold any tax we are required by law to deduct, including under section 107D of the Income Tax Act 1967 where it applies, and we will give you a statement of any amount withheld.
10. Personal data
- Referred Customers apply directly with Duit Ready. You must not collect, copy or keep their documents or personal data beyond what is needed to share your Referral Code.
- You must comply with the Personal Data Protection Act 2010 when handling anyone's personal data.
- If you suspect any personal data has been lost or misused, tell us within 24 hours.
- We process your own personal data for onboarding, identity checks, Commission payments and tax, as described in our Privacy and PDPA Notice.
11. Confidentiality
The Commission Schedule, information about our Lending Partners and any non-public information about Duit Ready are confidential. You must not share them with anyone, during or after your participation.
12. Our name and materials
The Duit Ready name, logo and materials belong to us. We give you a limited, revocable permission to use the materials we provide, only to promote Duit Ready under these Terms. This permission ends when your participation ends.
13. Ending your participation
- You may leave the Programme at any time by telling us in writing.
- We may end your participation with [7] days' notice, for any reason.
- We may suspend or end your participation immediately if you breach these Terms, act dishonestly, receive repeated complaints, or harm Duit Ready's reputation.
- When your participation ends, you must stop using your Referral Code and our materials. We will pay Commission for Approved Loans from referrals made before the end date, unless your participation ended because of a breach or fraud.
14. Liability
- Lending Partners decide whether to approve a loan. We are not responsible for their decisions or for any loss of Commission that results.
- To the extent the law allows, our total liability to you is limited to the Commission paid to you in the 3 months before the claim.
- You agree to compensate Duit Ready for any loss, claim or penalty caused by your breach of these Terms or of the law.
15. Changes to these Terms
We may update these Terms. We will tell you about material changes by email or WhatsApp at least [14] days before they take effect. If you continue in the Programme after that, you accept the updated Terms.
16. General
- You may not transfer your rights or obligations under these Terms. We may transfer ours to a related company or a successor.
- If any part of these Terms is found invalid, the rest remains in force.
- These Terms are governed by the laws of Malaysia, and the courts of Malaysia have jurisdiction.
- These Terms are available in Bahasa Malaysia and English. If there is any inconsistency, the English version will prevail.
